Welcome to Lioncore Technologies. By using our Services, you agree to these Terms of Service. If you are using the Services on behalf of a company or organization, you represent that you have the authority to bind that entity to these terms.

  • 1. Agreement to Terms

By accessing or using our Services (as defined below), you (“Customer”, “User”, “you”) agree to these Terms of Service (“Terms”). If you are using the Services on behalf of a company or organization, you represent that you have the authority to bind that entity to these terms.

If you do not agree to these Terms, you may not access or use our Services.

  • 2. Services Overview

Lioncore provides software solutions, platform services, cloud tools, APIs, and enterprise products (collectively, “Services”). We may update, modify, or discontinue parts of the Services at our discretion, with notice to you where required.

  • 3. Accounts & Registration

You may need to create an account to use certain Services.

  • You are responsible for maintaining account credentials and ensuring all activity under your account complies with these terms.
  • You must provide accurate, up-to-date information.
  • 4. Acceptable Use

You agree not to use the Services to:

  • Violate any law or regulation.
  • Infringe the rights of others (e.g., intellectual property).
  • Reverse engineer, decompile, or disassemble our Services.
  • Interfere with or degrade the performance of the Services.
  • Use the Services to attempt to extract source code, probe allowed by law or our licensing.
  • 5. Payment & Billing

If Services are paid, you agree to pay applicable fees under the pricing plan you choose.

  • Fees are in specified or posted terms for non-payment, after giving you notice.
  • All fees are non-refundable unless otherwise specified in writing.
  • 6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information disclosed during the business relationship.

“Confidential Information” includes business, operations, customers, processes, financial information (e.g., pricing, revenue), and any other non-public information that a reasonable person would consider confidential.

Confidential Information does not include information that: (a) is or becomes public (without your breach of this privacy), passes through no fault of the receiving party; or is required by law to disclose (in which case notice should be given, if legally permissible).

  • 7. Intellectual Property

All content, code, trademarks, and features in the Services, software, and intellectual property:

  • Remain owned by Lioncore, its Licensors, or its suppliers, and is protected under their terms.
  • You may not copy, modify, or create derivative works unless expressly permitted by Licensee.
  • 8. Data & Privacy

By creating an account and using our Privacy Policy, by using the Services, you consent to the collection, use and sharing of your data as described in the Privacy Policy.

For enterprise customers, data processing rules (controller vs. processor) will be defined in a separate Data Processing Addendum (DPA) or contract.

  • 9. Disclaimers

We provide the Services on an “AS IS” and “as available” without warranties of any kind, unless otherwise agreed.

  • We disclaim all implied warranties (merchantability, fitness for any other Non-warranties).
  • To the fullest extent permitted by law, Lioncore disclaims all warranties, whether express, implied, statutory, or otherwise.
  • 10. Limitation of Liability

To the maximum extent permitted by law (Lioncore’s liability), and that of its affiliates for any claim arising out of or relating to these Terms or the Services shall not exceed:

  • The total fees you paid to Lioncore during the twelve (12) months preceding the claim, or
  • $100 USD, for any reason (innocent, special, or consequential damages (including loss of data, profits, business).
  • 11. Indemnification

You agree that you will hold harmless Lioncore (and its officers, directors, employees, agents) from any claims (liabilities, damages, losses, or costs (including reasonable attorneys’ fees arising from:

  • Your use of the Services in violation of these Terms.
  • Your violations of any law or the rights.
  • 12. Term & Termination
  • These Terms remain in effect until terminated.
  • You may terminate by ceasing to using the ISV x ISV API, written notice or more, if we comply.
  • Lioncore may suspend or immediately terminate your access if you materially breach these Terms.
  • Upon termination, we must stop using the Services, (in paid Services, termination does not automatically entitle you to a refund unless stated otherwise).
  • 13. Governing Law & Dispute Resolution

Any disputes arising under or in connection with these Terms will be resolved by negotiations / mediation / arbitration / courts, as agreed by the parties.

  • 14. Changes to Terms
  • We may update these Terms from time to time.
  • We will make material changes, we will notify you (e.g., via email or in the Service).
  • Continued use of the Services after changes constitutes acceptance.
  • 15. Severability

If a provision is invalid or unenforceable, the rest remains in effect.

Assignment: you may not assign these Terms without our prior written consent. We may assign or transfer our or a connection with a business transfer.

Entire Agreement: These Terms, together with any DPA or order form regarding the Services, constitute the entire agreement between you and Lioncore regarding the Services.
